3.2借據(jù)或貸款憑證是本合同不可分割的組成部分。借款的實際放款日和還款日以借款人、貸款人雙方辦理的借據(jù)或憑證上所記載的日期為準(zhǔn)。除日期外,借據(jù)或憑證其他記載事項
如與本合同不一致的,以本合同為準(zhǔn)。

第五條 借款利率和計息。
article 5. interest rate of loan and calculation
5.1借款利率。本合同項下借款利率根據(jù)國家有關(guān)規(guī)定,確定利率見36。5 .遇利率調(diào)整時,借款期限在1年(含)以下的,執(zhí)行合同利率,不分段計息;借款期限在1年以上的,實行分段計息,從利率調(diào)整的次年1月1日開始,按相應(yīng)利率的檔次執(zhí)行新的利率;如借款人未按約定時間歸還借款本息或未按合同約定用途使用借款,貸款人將按國家規(guī)定對借款人計收罰息,罰息率見36.6.
5.1 interest rate of loan: the interest rate under this contract is specified in 36.5 in line with relevant rules. in case of change of interest rate, the interest rate stipulated in the contract shall prevail for loans with a life of less than or equal to one year; for loans with a life exceeding one year, the interest shall be calculated on a multi-stage basis, i.e. from next jan. 1st following the adjustment of interest rate, the new rate shall prevail. in case the borrower fails to repay the principal and interest before the due date, or fails to use the loan for purposes as agreed in this contract, the lender shall be entitled to collect default interest in line with relevant rules. the default interest rate is specified in 36.6.
5.2遇利率調(diào)整時,實行分段計息的,貸款人有權(quán)根據(jù)國家有關(guān)規(guī)定自行調(diào)整,不另行通知借款人。
5.2 in case of calculating interest on multi-stage basis due to adjustment of interest rate, the lender shall be entitled to adjust the interest rate on his own without further notice to the borrower.
第六條 還款方式。

6.1借款人應(yīng)在貸款人開設(shè)帳戶,戶名和帳號見 36.7 ,并保證在每次還款日前足額存入當(dāng)期應(yīng)還款項的存款。借款人在此授權(quán)貸款人從借款人該帳戶中扣收借款本金、利息和可能發(fā)生的復(fù)利、罰息、違約金、保費、損害賠償金及實現(xiàn)債權(quán)的費用(含律師費和訴訟費)如該帳戶資產(chǎn)不足以歸還到期的貸款本息,貸款人有權(quán)從借款人在中國工商銀行任何分支機構(gòu)開立的任何帳戶劃收。
6.1 the borrower should open an account with the lender( the account name and account number are specified in 36.7.) and promise to deposit sufficient money for repayment before each due date. the borrower hereby authorizes the lender to collect , if any, compound interest, default interest, liquidated damage, premium, compensation and expenses arising from the realization of creditors right (including lawyers fee and court expense)in addition to due principal and interest of loan. in case the asset in this account is not enough for repayment of due principal and interest, the lender shall be entitled to collect from any account opened by the borrower with any branch of icbc.
6.2貸款人與借款人雙方商定,自貸款發(fā)放次月起,借款人按月歸還貸款本息(一次性還本付息除外),還款期數(shù)及還款方式見 36.8 .
6.2 the borrower shall repay the principal and interest on a monthly basis (except repaying principal and interest in a lump sum) from the second month following the issuing of loan , as agreed between the borrower and lender. the repayment tenors and type are specified in 36.8.
6.3借款期間遇利率調(diào)整,如執(zhí)行本合同5.1條實行分段計息的,對借款期限在1年以上的,應(yīng)從利率調(diào)整的次年1月1日開始根據(jù)未償還借款余額和剩余還款期數(shù)進(jìn)行調(diào)整,重新計算還款金額。
6.3 in case of multi-stage calculation of interest as specified in 5.1 due to adjustment of interest rate during the life of loan, the repayment amount for loans with a life exceeding one year shall be recalculated on the basis of balance of unpaid loan and the rest of repayment tenor from next jan. 1st following the adjustment of interest rate.
6.4借款人提前歸還貸款須經(jīng)貸款人書面同意,,提前歸還部分的利息仍按本合同約定的利率和該部分實際使用天數(shù)計算。
6.4 repayment of the loan ahead of schedule by the borrower shall be subject to written consent from the lender. the interest of prepaid amount should be calculated on the basis of rate specified in this contract and actual days.
第七條 擔(dān)保方式。本合同的擔(dān)保人及擔(dān)保方式見 36.9.具體約定由本合同中相應(yīng)的擔(dān)保條款確足。

違反借款合同的責(zé)任:
1、貸款方的'責(zé)任:貸款方不按合同規(guī)定及時貸款,應(yīng)償付違約金。
2、借款方的責(zé)任:借款方不按合同規(guī)定歸還貸款的,應(yīng)當(dāng)承擔(dān)違約責(zé)任,并加付利息。借款方不按合同規(guī)定使用政策性貸款的,應(yīng)當(dāng)加付利息;貸款方有權(quán)提前收回一部分或全部貸款。
民間借款合同的注意事項:
隨著市場經(jīng)濟(jì)的發(fā)展,經(jīng)濟(jì)生活較為寬裕,資金使用效益被受到重視,民間債權(quán)債務(wù)關(guān)系日趨增多。那么,怎樣才能較好的保護(hù)民間債權(quán)債務(wù)關(guān)系的合法有序以及當(dāng)事人的合法權(quán)益呢?我們的處理經(jīng)驗是 :
1.訴訟時效問題。需要注意:借款沒有約定還款期限的,債權(quán)人可以隨時提出還款主張,不受兩年訴訟時效的限制,但提出還款主張后兩年內(nèi)沒有繼續(xù)主張的,視為超過訴訟時效,法律不予支持。
2.原告主張債權(quán)必須提供書面借據(jù);無書面借據(jù)或無法提供的,應(yīng)提供必要的事實根據(jù)或與自己無利害關(guān)系的兩人以上的證人證言,來支持自己的主張。欠條或者借條在債務(wù)人之手時一般將被推定為該債務(wù)已經(jīng)清償。
3.民間借貸的利率可以高于銀行利率,但最高不得超過銀行利率的4倍(含利率本數(shù)),但一定要明確約定,沒有約定利息的,視為無息借款。約定超出銀行同期利率4倍的,超出部分的利息依法不予保護(hù)。出借人不得將利息計入本金謀取高利,審理中發(fā)現(xiàn)借款人將利息計入本金計算復(fù)利的,只返還本金。
4.出借人明知是為了進(jìn)行非法活動而借款的,典型的例子是賭債,其借貸關(guān)系不予保護(hù)。對雙方的違法借貸行為,可按照有關(guān)法律予以制裁。
5.行為人以借款人的名義出具的借據(jù)代其借款,借款人不承認(rèn),行為人又不能證明的,由行為人承擔(dān)民事責(zé)任。如借款系用于夫妻共同生活,則由夫妻雙方共同償還。
6.合伙經(jīng)營期間,個人以合伙組織的名義借款,用于合伙經(jīng)營的,由合伙人共同償還;借款人不能證明借款用于合伙經(jīng)營的,由借款人償還。
7.借款的抵押如果涉及不動產(chǎn),要到相關(guān)部門辦理登記手續(xù),才能對抗第三人。
8.債權(quán)文書如辦理可強制執(zhí)行的公證,則可不經(jīng)法院審理,直接向法院申請強制執(zhí)行。
9.還款期滿后6個月內(nèi)必須向擔(dān)保人主張權(quán)利,如過期則擔(dān)保人一般不承擔(dān)擔(dān)保責(zé)任。
10.為延長訴訟時效可以用郵政特快專遞不斷寄送追款函,郵件回執(zhí)單必須明確注明寄送的內(nèi)容,如要求還款1萬元的函、要求擔(dān)保人承擔(dān)擔(dān)保責(zé)任的函。

PREMISES LEASE CONTRACT
立合同人:

出租方(以下稱甲方):

甲乙雙方經(jīng)過友好協(xié)商一致訂立本合同,以資共同遵守。

一.建筑地址:
甲方將其所有的位于上海市 的房屋在良好及可租用的狀態(tài)下出租給乙方。 乙方向甲方承諾該物業(yè)僅作為住宅使用。

六. 保證金

1. 為確保房屋及其附屬設(shè)施之安全與完好及租賃內(nèi)相關(guān)費用之如期結(jié)算,乙方同意支付給甲方保證金共計人民幣 元整,甲方在收到保證金后應(yīng)予以書面簽收。

3.因乙方違反本合同的規(guī)定,而產(chǎn)生的違約金,損害賠償金以及租金及相關(guān)費用,甲方可經(jīng)乙方書面確保后在保證金中低扣,不足部分乙方必須在接到甲方付款通知后十天內(nèi)補足。

九. 乙方的義務(wù):

4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自變更使用性質(zhì),不應(yīng)存放危險物品,如因此發(fā)生損壞,乙方應(yīng)承擔(dān)全部責(zé)任。

5. 非房客人為因素造成的設(shè)備和家具損壞,由房東負(fù)責(zé)修繕或更換,如房東在接到房客通知的十天沒有及時修繕或更換,房客有權(quán)自己去更換或修繕,費用由房東承擔(dān),房東應(yīng)負(fù)責(zé)房屋結(jié)構(gòu)的維修,除非損壞是由于房客人造成的,其中日常消耗品的更換費用由乙方承擔(dān)。

In the event that The Landlord fails to repair or replace such equipment within a reasonable time (being less than ten days from he date on which the problem was notified to The Landlord) The Tenant shall have the right to arrange for repair or replacement and the costs are to be reimbursed to the Tenant by The Landlord. The landlord is responsible for the repair and upkeep and repair of the structure of The Property, except where and to the extent it is damaged due to the negligence of The Tenant. 十. 同終止及解除的規(guī)定:
Ⅹ. Termination and dissolution of the Contract:
1. 乙方在租賃期滿后,如需續(xù)祖或退租,應(yīng)提前一個月通知對方,由雙方另行協(xié)商續(xù)租事宜。

4. 同任何一方在不可抗力事件(地震,戰(zhàn)爭,自然災(zāi)害,政治因素)而不能履行本合同義務(wù)時,本合同將自然終止,未租租金及全部押金將返還給乙方。

十一. 違約責(zé)任:

1. 甲、乙任何一方未按本合同的條款執(zhí)行,導(dǎo)致中途終止本合同,并且過錯方在未征得對方諒解的情況則視為違約,雙方同意違約金為 元整。若違約金不足彌補無過錯方之損失,則違約方還需就不足部分支付賠償金。

The quality of all the garments shall answer for the updated, valid Standard of the Nation and the industry. In case the garments are unqualified or for other reason that shall ascribe the seller’s fault, which brings losses of or damages (including but not limited to fine, expropriate, damage to Goodwill, lawyer’s fee and other losses for the buyer ’s breach of law or
contract because of the seller fault) to the buyer, the buyer shall has the right to ask seller for damages.
所有服裝質(zhì)量應(yīng)符合最新、有效的國家標(biāo)準(zhǔn)、行業(yè)標(biāo)準(zhǔn)的規(guī)定,若賣方交付的服裝質(zhì)量不合格或其他任何可歸咎于賣方的責(zé)任導(dǎo)致買方遭受的任何損失(包括但不限于罰沒款、扣款、商譽損失、律師費及其他因賣方原因?qū)е沦I方違約、違法所遭受的損失),買方有權(quán)要求賣方承擔(dān)。
Seller shall provide 7 original copies of "Approved" Quality Inspection Certificate for each fabric used to produce
MOTIVI different models 7 days before the delivery date. The certificate must be issued by a Chinese official quality testing
department, the samples that the seller send to quality test lab shall be representative, can represent the quality of the goods, and the test must follow the Basic Standard GB18401 and include the composition of the fabric. The buyer will settle the payment according to the contract after received the test report and other related documentations (Packing list, Invoice of Goods etc.).

6. Intellectual Property Right
All the goods, documents and materials that the Seller gets to may concerns intellectual property right of the buyer and *** Group, especially may contains trade marks, copyright and business
secret of the buyer and *** group. The seller shall keep secret and shall procure that its employee, agent and any other persons who may have access to the above-mentioned information keep
confidentiality and shall not use it for any purpose at any time or disclose to any third party. The seller shall not
sell, transfer any products or materials to any third party except for the buyer and *** group that concerns trade marks, other logo or marks, copyright and other intellectual property right of the buyer and *** group, even if for the out season products, substandard products, rest products and unused/waste products or materials. In case the seller breaches, the buyer has the right to ask for indemnification including but not limited investigation fees, lawyer’s fees,compensation as well as all other fees according to the stipulations or Chinese laws.

7. Both parties will try to resolve any dispute concerning the contract amicably. If the dispute can not be resolved by negotiation, any party may initial legal action.

On expiry of this lease, Party A has the right to take back the leased property with furniture and electrical appliances in full, and Party B must deliver the leased property on the date of expiry (fair wear and tear, structural and inherent defeats excepted). After the leasing term, the apartment has to maintain the reasonable condition. If Party B wishes to extend the lease, Party B shall have the priority to renew the lease with the same condition and is required to give written notice to Party A One month prior the expiry of this lease , the revised rental rate and period should be negotiated between the two parties

3.4 在本租約有效期內(nèi),租金不予調(diào)整。

四、 押金:

4.1 本租約簽訂之日,乙方應(yīng)向甲方繳付壹個月租金額的租賃押金計人民幣
。租約期滿,乙方如不再續(xù)租,甲方應(yīng)在租賃期結(jié)束后十日內(nèi)(在乙方將租賃期間發(fā)生的全部水,電,煤氣等雜費付清后),將押金退還(不計利息)
The day after the signature of this Tenancy Agreement, Party B must pay to Party A one months rental as deposit, totaling On completion of the tenancy period. if Party B does not continue to rent the leased property, Party A must return the deposit in full to Party B (excluding interest) within ten days after the termination or early of the Lease Agreement under the condition that Party B has paid all the utilities fee such as water, electricity, gas and telephone.
4.2 乙方如違反租約規(guī)定,致使甲方未能如期收取租金或因而發(fā)生費用開 支,甲方可以根據(jù)憑證扣留全部或部分押金抵付。不足部分甲方有權(quán)要 求乙方賠償。
If Party B breaks any part of this contract, such as not paying the rent punctually, or causing additional expenses to Party A, Party A has the right to retain part of or all of
the deposit as compensation according to its actual losses. If the said deposit is insufficient to cover Party A’s costs, Party A has the right to ask for compensation if any.
4.3 發(fā)生4.2條款情況,押金不足抵付時,乙方必須按接到甲方付款通知后 十日內(nèi)補足。
If Clause 4.2 is brought into effect, and the said deposit is insufficient to cover Party A’s costs, Party B should pay the extra amount to Party A within ten days of receipt of Party A’s invoice notice.
4.4 押金以人民幣支付。甲方收到押金后付給乙方全額收據(jù)。
The deposit is payable in RMB. Party A should issue a receipt to Party B after receiving the deposit.
五、 其它費用:
Other Charges:
5.1 乙方在租賃期內(nèi)所用的水、電、煤氣,電話等費用由乙方繳付。 Party B’s utilities expenses during the lease term will be paid by Party B.
六、 甲方的責(zé)任:
Landlord’s Responsibilities:
6.1 租賃期內(nèi)甲方不得無故收回房屋,如甲方中途要求收回房屋,乙方可以
拒絕。
Party A is not permitted to take back the leased property during the term of the contract without any reason. If Party A wishes to do so, Party B has the right to object.
6.2 負(fù)責(zé)對乙方正常使用中發(fā)生的房內(nèi)家具、電器及其他設(shè)施損壞或故障進(jìn)
行及時維修并承擔(dān)費用。
To undertake responsibility and assume such costs for timely repairs to furniture, electrical appliances and other facilities that are damaged or have malfunctioned through normal usage by Party B.
6.3 督促物業(yè)公司提供充分的保安、消防工作及安靜清潔的居住環(huán)境。 To supervise the estate management office to provide adequate security, fire prevention and quirt & circumstance.
6.4 督促管理公司向乙方提供所應(yīng)提供的服務(wù),如冷水、熱水、電的供應(yīng)及
各種設(shè)備(包括空調(diào))的正常工作,并提供公共區(qū)域和公共設(shè)施的開放,如健身房、兒童房和其他娛樂場所。督促公共區(qū)域和公共設(shè)施的清潔;公共區(qū)域的照明并提供道路指示牌。督促道路和公共區(qū)域的維護(hù);督促修理、保養(yǎng)和更換大廈的保安設(shè)施、消防設(shè)施、電器設(shè)施、變壓器、煤氣、排水、空調(diào)、電梯和其它設(shè)施。
To ensure the estate manager to provide proper service to Party B, such as supply of cold water, hot water, electricity, proper maintenance of all kinds of equipment (including air-conditioners), and to provide free access to public areas and facilities such as gymnasium, children’s room and other recreational areas. To clean public areas and facilities; to illuminate public areas and provide signs; to repair access ways and public areas; to repair, maintain, and replace security, fire fighting and electrical appliances, transformer, gas, sewage, air conditioning systems, elevators, lifts and other facilities of the building.
6.5 保證物業(yè)的合法性,保證有合法權(quán)利出租該物業(yè)。

七、 乙方責(zé)任:

7.1 乙方應(yīng)按本租約三、四、五條款規(guī)定交付租金,押金和各項費用,如有
拖欠,則作違約論。
Party B should promptly pay the rent, deposit and other charges as set out in Clauses 3,4 and 5of the Agreement. Non-payment of these charges constitutes a breach of this Agreement.
7.2 租賃期內(nèi)未經(jīng)甲方同意,乙方不能轉(zhuǎn)租其所租房屋,私自轉(zhuǎn)讓無效。 During the period of Tenancy, unless with the agreement of Party A, Party B cannot sub-let or let in part or in full the leased property to other Party.
7.3 乙方應(yīng)愛護(hù)房屋及其設(shè)備,如因使用不當(dāng)導(dǎo)致?lián)p壞應(yīng)負(fù)責(zé)賠償。
Party B must take care of the property and its contents, otherwise Party B should pay compensation to Party A for his improper use of the property.
7.4 在房內(nèi)已有的裝飾和設(shè)施之外,乙方如要增加設(shè)備或其他裝修須征得甲
方同意;租賃期滿必須恢復(fù)原狀如有損壞(正常使用磨損、結(jié)構(gòu)或原有的問題除外),并承擔(dān)其費用,經(jīng)甲方驗收認(rèn)可后歸還甲方。
In addition to the decoration and equipment already in the property, if Party B wishes to make any alterations or decorate the property, Party B should get the permission from Party A. On completion of the tenancy, Party B must hand-over the property to Party A in its original condition ( fair wear and tear, structural and inherent defects expected), and all fees arising from such work have to be borne by Party B.
7.5 保證賠償由于乙方或乙方有關(guān)系的官員、上司、雇員、客人、來訪者、
雇傭工人、代理、執(zhí)照持有者或被邀請人等(統(tǒng)稱與乙方相關(guān)的人)的粗心及疏忽造成的房屋的損害或損失,并允許甲方或其代理人在事先通知后進(jìn)入房屋,對房屋的.損失或損害進(jìn)行彌補及修復(fù),在此所發(fā)生的費用由乙方負(fù)擔(dān)。
To indemnify Party A for any loss or damage to the leased property from negligent act or omission of Party B or any officer, director, employee, guest, visitor, servant, agent licensee or in invitee of Party B (each referred to hereinafter individually as an “associate” ), to permit Party A or his authorized representatives, with an advance notice, to enter the leased property to repair any such loss or damage at the expense of Party B.
7.6 在甲方預(yù)先通知后,乙方應(yīng)允許甲方或其代理人在有理由的情況下在合
理的時間進(jìn)入及巡視房屋進(jìn)行必要的維修或修復(fù)工作;在租賃期最后一個月內(nèi),允許甲方或其代理人帶領(lǐng)有意租賃或購買房屋的客人視察房屋,但乙方已按第2.2條書面通知甲方將續(xù)租時除外。
With Party A’s notice in advance, Party B should permit Party A and the person authorized by Party A under reasonable circumstances to enter and view the leased property at reasonable hours, to carry out any work and repairs which is necessary to be done. During the last one months of the Tenancy, Party A has the right to show the
leased property to prospective lessors or purchasers, unless according to clause 2.2, Party B has informed Party A of its intention to renew the Lease.
7.7 在未經(jīng)甲方書面同意下,乙方不得擅自設(shè)立、安裝或移動設(shè)施及設(shè)備,
不能擅自設(shè)立隔段,不得擅自對房屋的結(jié)構(gòu)機關(guān)改動或增加。
Not to erect, install or remove any fixtures or partitioning, or to make any structural additions and alterations without the prior written consent of Party A.
7.8 租賃房屋過程中,必須嚴(yán)格遵守中華人民共和國的有關(guān)法律、細(xì)則、規(guī)
章及法令的規(guī)定,并嚴(yán)格禁止乙方利用房屋進(jìn)行違犯法律及不道德的行為。
Strictly to comply and adhere in the use of the leased property with all laws, regulations and decrees of the People’s Republic of China applicable to such use, and specifically not to permit or suffer the leased property to be used for any purpose that is unlawful or immoral.
7.9 房屋除供乙方居住之外,未經(jīng)甲方書面同意,房屋不可作辦公或協(xié)議未
曾說明之用。上述同意不應(yīng)不合理地拒絕。
To use the leased property exclusively as the residence of his family and not to use the leased property as an office or for any other purpose without the prior written consent or Party A , which consent shall not be ueasonably withheld.
7.10 未經(jīng)甲方書面同意,屋外不得擅自放置標(biāo)示板及陳列任何設(shè)施,不允許
在房外、窗及門上掛曬衣物以影響房屋外觀面貌,該條件不得被不合理拒絕。
Not to affix or display any signboard or other device visible from outside the leased property without the prior written consent of Party A, which consent shall not be ueasonably withheld, and not to use the outside of the leased property or any doors or windows to hang any washing.
7.11 租客必須遵守物業(yè)條例準(zhǔn)則,如出現(xiàn)糾紛需與業(yè)主來協(xié)商調(diào)解。
To obey the regulation is set by the management office, in case any dispute arises, the two parties shall negotiate friendly.
八、 房屋不能居住時其他事件:
Other things:
房屋由于火災(zāi),惡劣天氣,戰(zhàn)爭或其它甲方不可抗拒因素,而不是
因為乙方直接或間接的疏忽及故意行為造成房屋毀壞而不能被正常使用及居住時,乙方從該日起停止支付租金,直至房屋可再被使用及居住時為止,如該房屋因任何不能歸因于乙方的原因不能正常使用超過10天,乙方有權(quán)終止合同并無需承擔(dān)任何責(zé)任,甲方應(yīng)退還剩余部分押金及預(yù)付租金。甲方根據(jù)自己的意愿及經(jīng)濟(jì)、實際意義等原因,沒有義務(wù)必須修繕復(fù)原房屋。若此情況發(fā)生,甲方應(yīng)書面通知乙方,并在作出上述通知的十天之內(nèi)將押金及預(yù)付租金全部退還乙方。

Article 3:Party B is responsible to provide relevant technical and market information home and abroad and is ready to answer any technical problem frequently asked by Party A.
第四條、 乙方有義務(wù)向甲方提供有關(guān)個人簡歷和相關(guān)證明材料,甲方要尊重乙
方個人隱私,有義務(wù)妥善保管相關(guān)材料。
Article 4: Party B shall has the obligation to provide Party A with any relevant personal resume and reference documents as necessary. Party A shall respect the personal privacy of Party B and has the obligation to properly keep those materials.
第五條、 乙方同意所研發(fā)的產(chǎn)品所有知識產(chǎn)權(quán)歸甲方所有,乙方不得將相關(guān)技
術(shù)信息泄露給任何第三方,否則需要承擔(dān)一切法律后果。
Article 5: Party B hereby agrees that the intellectual property of any product as researched and developed herein shall be owned by Party A. Party B shall not be allowed to disclose any technical information concerned to the third party, or it shall take all the legal consequences.
第六條、 甲乙雙方同意通過緊密合作達(dá)到共同目標(biāo);每年增加一到三個項目;
每年申請一到三個發(fā)明專利;每年完成一到兩個能夠通過專家認(rèn)證的
新產(chǎn)品;每年至少向市場推廣兩個產(chǎn)品。
Article 6: Both Parties agree to achieve their common goals by their close cooperation. It is planned to add one to three projects each year and to apply for one to three patents for inventions each year, to make one to two new products certified by experts each year, and to promote at least two products to the market each year.
第七條、 此協(xié)議甲乙雙方各執(zhí)一份,沒有在協(xié)議中提到的事項雙方需協(xié)商解決。 Article 7: This Agreement is held by both Parties, one for each respectively. Any issue not mentioned in this Agreement shall be settled by both Parties through negotiation.
此協(xié)議從簽字當(dāng)日起生效。
This Agreement shall take effect from the date of signature.
